If a project-specific written agreement conflicts with these Website Terms, the project-specific agreement will control with respect to that engagement.
2. Website Use
You may use this Website only for lawful purposes. You agree not to misuse the Website, attempt unauthorized access, interfere with its operation, introduce malicious code, scrape or reproduce protected content without authorization, or use the Website in a manner that could damage CyborgStud.io or another party.
We may modify, suspend, restrict, or discontinue any portion of the Website at any time.
3. Services, Proposals & Pricing
Information displayed on the Website regarding services, packages, pricing, capabilities, timelines, or results is provided for general informational purposes unless expressly stated otherwise.
Custom projects may require a proposal, contract, deposit, or other written authorization before work begins.
Quotes and proposals may be subject to expiration dates and project assumptions stated within them. Additional work outside an agreed scope may require additional fees.
4. Payments
Payment terms are determined by the applicable proposal, contract, invoice, subscription, or service agreement.
Deposits and upfront payments may be required before work begins. Unless otherwise stated in writing, amounts paid for work already performed, third-party expenses incurred, or resources committed to a project are non-refundable.
Failure to make required payments may result in suspension of work, withholding of deliverables, suspension of hosting or other ongoing services, or termination of the engagement, subject to any applicable agreement and law.
5. Client Responsibilities
Clients are responsible for providing accurate and timely information, content, approvals, credentials, assets, feedback, and other materials reasonably necessary to complete their project.
Clients represent that they have the necessary rights and permissions to provide any text, photographs, logos, trademarks, videos, data, software, or other materials supplied to CyborgStud.io.
Delays in receiving required client materials, approvals, payments, or feedback may affect project timelines.
6. Intellectual Property
Unless otherwise agreed in writing, CyborgStud.io retains ownership of its pre-existing intellectual property, methodologies, processes, software, systems, templates, frameworks, prompts, tools, code libraries, design systems, know-how, and other reusable materials.
Upon receipt of all required payments, clients receive the ownership or usage rights to final project deliverables specifically identified in their applicable agreement.
Third-party materials, software, fonts, plugins, stock assets, artificial intelligence services, platforms, and other licensed components remain subject to their respective licenses and terms.
7. Branding, Logos & Trademark Responsibility
CyborgStud.io may provide logos, names, visual identities, branding concepts, and related creative services.
Unless specifically included in a written agreement, CyborgStud.io does not provide legal trademark clearance, trademark registration, copyright registration, or legal opinions regarding the availability or protectability of a name, logo, slogan, design, or other intellectual property.
Clients are responsible for obtaining appropriate legal clearance or registration when required.
8. Artificial Intelligence
CyborgStud.io may use artificial intelligence and automated technologies as part of its creative, development, research, optimization, analysis, content, or production processes.
AI-assisted outputs are reviewed and/or incorporated as part of our broader professional workflow where appropriate. However, artificial intelligence systems can produce inaccurate, incomplete, or similar outputs, and no AI-generated or AI-assisted material should be interpreted as a guarantee of originality, legal clearance, ranking, performance, or business results.
9. Website Hosting & Third-Party Services
Certain services may rely on third-party hosting providers, domain registrars, software platforms, plugins, APIs, payment processors, analytics providers, artificial intelligence systems, or other third-party services.
CyborgStud.io does not control and cannot guarantee the continuous availability, security, performance, policies, or operation of third-party systems.
Where CyborgStud.io provides hosting or maintenance, the specific scope and responsibilities are governed by the applicable service agreement.
10. Security, Backups & Cyber Incidents
CyborgStud.io may implement commercially reasonable security, maintenance, monitoring, and backup practices when those services are included in a client's agreement.
No website, hosting environment, software system, or online service can be guaranteed to be completely secure or continuously available.
CyborgStud.io is not responsible for cyberattacks, malware, unauthorized access, data loss, third-party platform failures, or other security incidents beyond its reasonable control, except to the extent liability cannot legally be excluded.
Additional recovery, remediation, restoration, investigation, or redevelopment work may be subject to additional fees depending on the applicable service agreement and circumstances.
11. SEO, AIO, Performance & Business Results
CyborgStud.io may provide search engine optimization (SEO), AI optimization (AIO), website performance, accessibility, conversion, marketing, grading, or related recommendations and services.
Search engines, AI systems, browsers, advertising platforms, algorithms, and third-party technologies continually change.
Accordingly, CyborgStud.io does not guarantee specific search rankings, AI recommendations, traffic levels, leads, sales, conversion rates, PageSpeed scores, accessibility scores, revenue, or other business outcomes unless a specific written guarantee is expressly included in an agreement.
12. Website Grading & Recommendations
Website grading reports, audits, scores, recommendations, and similar materials provided by CyborgStud.io represent an assessment based on the information, tools, technology, and conditions available at the time of review.
Scores and recommendations are informational and may change as websites, search engines, artificial intelligence systems, accessibility standards, performance tools, or third-party platforms evolve.
13. Portfolio & Promotional Use
Unless otherwise agreed in writing or prohibited by confidentiality obligations, CyborgStud.io may identify completed work and display publicly available final deliverables for portfolio, case-study, award, social media, marketing, or promotional purposes.
Confidential information will not knowingly be disclosed for promotional purposes.
14. Third-Party Links
The Website may contain links to third-party websites or services. CyborgStud.io is not responsible for the content, security, availability, privacy practices, or policies of third-party websites.
15. Disclaimer of Warranties

16. Limitation of Liability
To the fullest extent permitted by applicable law, Cyborg Logo LLC d/b/a CyborgStud.io, its members, employees, contractors, partners, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or lost business opportunities arising from use of the Website or services.
To the fullest extent permitted by law, CyborgStud.io's aggregate liability arising from a particular paid service will not exceed the amount actually paid to CyborgStud.io by the client for the service giving rise to the claim during the applicable engagement, except where a different limitation is established by a written agreement or where such limitation is prohibited by law.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Cyborg Logo LLC d/b/a CyborgStud.io and its members, employees, contractors, and agents from claims, damages, liabilities, and reasonable expenses arising from materials you provide, your misuse of the Website or services, your violation of these Terms, or your infringement of another party's rights.
18. Privacy
Your use of the Website is also subject to the CyborgStud.io Privacy Policy. The Privacy Policy should identify Cyborg Logo LLC d/b/a CyborgStud.io as the business responsible for the collection and handling of applicable personal information.
